These SprintHR AI Terms (the “AI Terms”) supplement the SprintHR Customer Agreement and apply when Customer accesses or uses artificial intelligence, machine learning, automated classification, recommendation, generative AI, large language model, or similar AI-assisted features made available through SprintHR (collectively, “AI Features”).
These AI Terms form part of the agreement between Gleent, Inc. (“Gleent,” “we,” “us,” or “our”) and the customer organization using SprintHR (“Customer,” “you,” or “your”).
If there is a conflict between these AI Terms and the SprintHR Customer Agreement regarding AI Features, these AI Terms control for that subject matter. The SprintHR Data Processing Addendum (“DPA”) continues to govern the processing of personal data where applicable.
1. Scope of AI Features
SprintHR may provide AI Features for functions such as:
- summarization;
- drafting and rewriting;
- search and retrieval;
- classification and categorization;
- recommendations and decision support;
- applicant or employee-related analysis;
- anomaly or pattern detection;
- workflow assistance;
- document analysis;
- conversational assistance;
- generation of reports, explanations, or suggested actions; and
- other AI-assisted functionality made available by Gleent from time to time.
AI Features may be provided directly by Gleent or through third-party AI infrastructure, model providers, or other subprocessors.
Customer is responsible for deciding which AI Features to enable, configure, or use within its SprintHR environment.
2. AI Inputs and Outputs
2.1 Inputs
“AI Inputs” means prompts, instructions, files, documents, Customer Data, retrieved context, configuration data, metadata, or other information submitted to or made available to an AI Feature by or on behalf of Customer.
Customer retains its rights in AI Inputs, subject to the rights granted to Gleent under the Customer Agreement and DPA to process such information for the purpose of providing the Services.
2.2 Outputs
“AI Outputs” means text, summaries, classifications, recommendations, analyses, predictions, suggestions, generated content, or other results produced by an AI Feature in response to AI Inputs.
As between Gleent and Customer, and to the extent permitted by applicable law and third-party provider terms, Customer may use AI Outputs generated for Customer through SprintHR for its internal business purposes.
Gleent does not guarantee that AI Outputs are unique. Similar or identical outputs may be generated for other customers or users.
3. Customer Responsibility for AI Use
Customer is responsible for:
- determining whether an AI Feature is appropriate for Customer’s intended use;
- ensuring that Customer has a lawful basis or other legal authority to provide AI Inputs to SprintHR;
- ensuring that AI Inputs do not contain information that Customer is prohibited from processing or disclosing;
- configuring access permissions and AI Features appropriately;
- reviewing AI Outputs before relying on or acting on them;
- complying with employment, labor, privacy, anti-discrimination, sector-specific, and other laws applicable to Customer’s use of AI Features; and
- providing notices, disclosures, or human-review mechanisms required for Customer’s use of automated processing, profiling, or AI-assisted decision support.
Customer must not instruct Gleent or use AI Features in a manner that violates applicable law.
4. Human Review and Employment Decisions
AI Features are intended to assist authorized users and support human decision-making.
Unless expressly agreed otherwise in writing, AI Outputs must not be treated as a substitute for Customer’s independent review, professional judgment, or legally required decision-making process.
Customer should not use AI Outputs as the sole basis for decisions that may materially or significantly affect an employee, applicant, contractor, or other individual where applicable law, Customer policy, or the nature of the decision requires human review or additional safeguards.
Examples of decisions that may require heightened review include:
- hiring or rejection of applicants;
- promotion or demotion;
- termination or disciplinary action;
- compensation changes;
- performance ratings;
- employee ranking;
- eligibility for benefits;
- investigation findings;
- workforce reduction decisions; and
- other significant employment-related actions.
Where SprintHR provides recommendations, scores, classifications, flags, summaries, or similar AI-assisted outputs, Customer remains responsible for the final decision and for independently evaluating relevant facts.
5. Automated Decision-Making and Profiling
Certain AI Features may involve automated processing, profiling, analytics, scoring, classification, recommendations, or similar processing of personal data.
Where applicable, Customer is responsible for determining whether its configuration or use of an AI Feature constitutes automated decision-making or profiling under applicable law and for satisfying any related legal requirements, including transparency, lawful basis, notice, registration, human review, objection, or other safeguards.
Where Gleent acts as a Personal Information Processor (“PIP”) on behalf of Customer, Gleent will process Customer Personal Data in accordance with Customer’s documented instructions, the DPA, and applicable law.
Gleent may provide product documentation, configuration information, or other reasonable assistance to help Customer understand the general operation of relevant AI Features and meet applicable transparency obligations.
Nothing in these AI Terms requires Gleent to disclose proprietary source code, model weights, confidential security information, or third-party trade secrets except where disclosure is legally required.
6. Accuracy and Limitations of AI
AI Outputs may be:
- inaccurate;
- incomplete;
- outdated;
- misleading;
- biased;
- inconsistent;
- unsuitable for a particular purpose; or
- based on insufficient or incorrect input data.
AI Features may generate plausible-sounding information that is not factually correct.
Customer and Authorized Users must independently verify material AI Outputs before relying on them for legal, payroll, financial, employment, compliance, safety, or other consequential purposes.
Gleent does not warrant that AI Outputs will be accurate, complete, unbiased, or suitable for Customer’s intended use.
7. Fairness, Discrimination, and Sensitive Decisions
Customer must not use AI Features to unlawfully discriminate against individuals or groups.
Customer is responsible for ensuring that its use of AI Features, including applicant or employee-related analysis, complies with applicable labor, employment, anti-discrimination, privacy, and other laws.
Customer should consider whether the AI Inputs, criteria, instructions, historical records, or other data used with an AI Feature may introduce unfair or inappropriate bias.
Where AI Features are used in connection with significant employment decisions, Customer should apply appropriate human review and consider relevant contextual information that may not be reflected in the AI Output.
8. Personal Data and Privacy
AI Inputs and AI Outputs may contain personal data.
Where Gleent processes personal data through AI Features on behalf of Customer, such processing is governed by:
- the SprintHR Customer Agreement;
- the SprintHR Data Processing Addendum;
- these AI Terms;
- the SprintHR Privacy Policy, where applicable; and
- the SprintHR Subprocessor List.
Customer is responsible for ensuring that personal data submitted to an AI Feature is appropriate for the intended purpose and processed in accordance with applicable law.
Customer should avoid submitting unnecessary personal data, sensitive personal information, privileged information, confidential third-party information, or other restricted information to AI Features unless such processing is necessary, authorized, and appropriately protected.
9. Third-Party AI Providers
Gleent may use third-party AI model providers, infrastructure providers, or related service providers to deliver AI Features.
Where such providers process Customer Personal Data on behalf of Gleent, they will be treated as subprocessors where applicable and will be subject to appropriate contractual and data-protection obligations.
Relevant AI providers may be identified in the current SprintHR Subprocessor List.
Gleent may change AI providers or models from time to time for reasons including:
- security;
- reliability;
- availability;
- performance;
- cost;
- legal or regulatory requirements;
- product improvement; or
- provider availability.
Where required by the DPA or applicable law, Gleent will provide applicable notice or follow the agreed subprocessor-change process.
10. Model Training and Customer Data
Unless expressly agreed otherwise in writing, Gleent will not intentionally use Customer Personal Data submitted through SprintHR to train general-purpose AI models for unrelated customers.
Where third-party AI providers are used, Gleent will configure or contract for their use of Customer Personal Data in accordance with the DPA, applicable law, and the provider arrangements applicable to the relevant AI Feature.
Gleent may use aggregated, de-identified, or otherwise non-identifiable information to improve the Services, analytics, safety, reliability, and product performance where permitted by applicable law and the Customer Agreement.
Nothing in this Section prevents processing necessary to provide, secure, troubleshoot, monitor, or support the AI Features.
11. Prohibited AI Uses
Customer and Authorized Users must not use AI Features to:
- violate applicable law or another person’s rights;
- make unlawful discriminatory decisions;
- impersonate another person deceptively or create unlawful deceptive content;
- generate, upload, or process content that Customer has no legal right to use;
- attempt to extract or discover system prompts, model weights, source code, credentials, security controls, or confidential implementation details through unauthorized means;
- bypass access controls, usage limits, safety measures, or security restrictions;
- introduce malicious code or use AI Features to facilitate unauthorized system access;
- process personal data in a manner that violates applicable privacy or data-protection law;
- use AI Outputs as the sole basis for legally significant employment decisions where human review or additional safeguards are required; or
- use AI Features in violation of the SprintHR Acceptable Use Policy.
Gleent may suspend or restrict access to AI Features where reasonably necessary to prevent unlawful use, security threats, abuse, or material violations of these AI Terms.
12. AI Actions and Tool Use
Certain AI Features may be capable of recommending, preparing, initiating, or executing actions through SprintHR, integrations, APIs, workflows, or connected services.
Where an AI Feature can take an action, the action may be subject to:
- Customer configuration;
- user permissions;
- authentication;
- role-based access control;
- approval requirements;
- system safeguards; and
- applicable product-specific restrictions.
Customer is responsible for configuring appropriate authorization and approval controls.
Gleent may require human confirmation before certain high-impact actions are executed.
AI Features must not be treated as having independent authority beyond the permissions granted through SprintHR.
13. Confidential Information
Customer should treat AI Inputs and AI Outputs containing confidential information in accordance with its own confidentiality obligations and the SprintHR Customer Agreement.
Gleent will handle Customer Confidential Information processed through AI Features in accordance with the confidentiality obligations in the Customer Agreement and the DPA, where applicable.
Customer is responsible for ensuring that Authorized Users do not submit third-party confidential or privileged information to AI Features without appropriate authority.
14. Security
Gleent will apply reasonable and appropriate technical, organizational, and administrative safeguards to AI Features consistent with the nature of the Services and the Customer Data processed.
Security controls applicable to Customer Personal Data processed through AI Features are further addressed in the DPA and applicable SprintHR security documentation.
Customer is responsible for securing Customer-controlled accounts, credentials, permissions, integrations, and configurations used with AI Features.
15. AI Feature Availability and Changes
AI Features may depend on third-party models, providers, APIs, infrastructure, or other external services.
Gleent may:
- add, modify, replace, suspend, or discontinue an AI Feature;
- change the model or provider supporting an AI Feature;
- impose reasonable usage, rate, or technical limits; or
- restrict a feature where necessary for security, legal compliance, provider changes, or prevention of abuse.
Where a material change significantly affects a paid AI Feature during an active subscription term, Gleent will provide reasonable notice where practicable, subject to urgent security, legal, or provider-related circumstances.
16. Fees and Usage Limits
Certain AI Features may be subject to:
- separate subscription fees;
- usage-based fees;
- credits;
- token, request, or volume limits;
- feature-specific quotas; or
- other commercial terms stated in the applicable Order or subscription plan.
Customer is responsible for usage by its Authorized Users within Customer-controlled accounts.
17. Intellectual Property
Gleent and its licensors retain all rights in SprintHR, its AI Features, software, workflows, interfaces, prompts created by Gleent, orchestration logic, models owned by Gleent, and related technology, except for Customer Data and rights expressly granted to Customer.
Customer retains its rights in Customer-provided AI Inputs.
Rights in AI Outputs are subject to applicable law, third-party provider terms, and the Customer Agreement.
These AI Terms do not transfer ownership of Customer Data to Gleent.
18. Third-Party Rights and Content
AI Outputs may occasionally contain or resemble content associated with third parties.
Customer is responsible for evaluating whether its intended use of AI Outputs may require additional permissions or review.
Gleent does not represent or warrant that all AI Outputs are free from third-party intellectual property, privacy, publicity, confidentiality, or other rights.
19. Disclaimer Specific to AI Features
AI Features are probabilistic technologies and may produce unexpected or incorrect results.
To the maximum extent permitted by applicable law, Gleent does not warrant that:
- AI Outputs will be accurate, complete, current, or error-free;
- AI Outputs will be unique;
- an AI Feature will identify every relevant issue, risk, pattern, or anomaly;
- an AI Feature will produce the same result for the same or similar inputs; or
- AI Outputs are suitable as a substitute for legal, accounting, payroll, human-resources, medical, security, or other professional judgment.
The warranties, disclaimers, and limitation-of-liability provisions in the SprintHR Customer Agreement also apply to AI Features.
20. Customer Indemnification for Misuse
To the extent provided in the SprintHR Customer Agreement, Customer remains responsible for third-party claims arising from Customer’s unlawful use of AI Features, unlawful AI Inputs, or material breach of these AI Terms.
Nothing in this Section expands Customer’s indemnification obligations beyond those stated in the Customer Agreement unless expressly agreed in an applicable Order.
21. Suspension of AI Features
Gleent may suspend or restrict Customer’s access to some or all AI Features where reasonably necessary to:
- address a security threat;
- prevent unlawful or abusive use;
- comply with law or a binding governmental order;
- respond to a third-party AI provider restriction;
- protect data subjects or third parties from material harm; or
- address a material breach of these AI Terms.
Where practicable and legally permitted, Gleent will provide reasonable notice and limit the suspension to the scope and duration reasonably necessary to address the issue.
22. Changes to These AI Terms
Gleent may update these AI Terms to reflect:
- changes to AI Features;
- changes to applicable law or regulatory guidance;
- security or safety requirements;
- changes in third-party AI providers;
- new technical capabilities; or
- changes in Gleent’s business practices.
For changes that materially affect Customer’s rights or obligations, Gleent will provide reasonable notice before the changes take effect unless an earlier change is required by law, security, safety, or an urgent third-party provider change.
Where Gleent determines that renewed acceptance is appropriate, SprintHR may require an authorized Customer representative to accept the updated AI Terms.
23. Relationship to Other SprintHR Terms
These AI Terms supplement the SprintHR Customer Agreement.
The following documents may also apply to AI Features:
- SprintHR Data Processing Addendum;
- SprintHR Privacy Policy;
- SprintHR Acceptable Use Policy;
- SprintHR Subprocessor List;
- and applicable Orders or product-specific terms.
Unless expressly stated otherwise, the order of precedence stated in the SprintHR Customer Agreement applies.
24. Governing Law
These AI Terms are governed by the same governing law and dispute provisions that apply under the SprintHR Customer Agreement.

Acceptance
By enabling, accessing, or using SprintHR AI Features under an Order, subscription, or authorized SprintHR contracting flow that incorporates these AI Terms, Customer agrees that these AI Terms form part of its agreement with Gleent.
